These terms are an agreement between you and Warm Regards Studios Pty Ltd (“Warm Regards”, “we”, “us”), a company registered in Victoria, Australia (ABN 78 695 091 993; ACN 695 091 993), which builds and operates Liaison. You agree to these terms by ticking the acceptance box when you create your account and when you complete a purchase, and by using the Liaison desktop app or the website at promptliaison.ai. If you do not agree, do not use Liaison.
The rest of this page is the formal version. In short:
You must be at least 16 years old to use Liaison. If you use Liaison on behalf of a business, you confirm you are authorised to bind that business to these terms.
You are responsible for keeping your account credentials secure and for activity that happens under your account. Provide accurate information and keep it current. Tell us promptly if you believe your account has been compromised.
Liaison is offered as a one-time Lifetime v1 licence (bring your own LLM API key) and as a monthly subscription (which includes access to our hosted LLM gateway). Pricing, billing frequency, and what your purchase covers are shown at checkout before you confirm.
Payments are processed by Stripe, which acts as the merchant of record— the legal seller — for your purchase. Stripe handles billing, tax calculation and remittance, and payment data, and provides your tax invoice. Your bank or card statement will show Stripe (not “Warm Regards”) as the seller. Any applicable taxes are calculated and collected by Stripe at checkout.
Your subscription automatically renews each month and is charged at the subscription price shown at checkout (currently around US$12/month or local equivalent) to your payment method by Stripe, until you cancel. You affirmatively agree to this recurring charge at checkout, where the price and billing frequency are shown before you confirm. A receipt is emailed on each renewal. You can cancel at any time, with no fee, in a few clicks, from your account dashboard or the Stripe billing portal linked there; cancellation stops all future charges and takes effect at the end of the current paid period, and you keep access until then. We do not provide partial refunds for the current period except where required by law. The hosted gateway is subject to fair-use rate limits; if you need higher volume, the Lifetime v1 (bring-your-own-key) plan removes our limits and uses your own provider account.
A Lifetime v1 licence is a one-time purchase that gives you perpetual, non-expiring use of version 1of Liaison (the major version you buy), plus all updates and fixes released within that major version, with no recurring fee. “Lifetime” refers to the life of that major version, not a guarantee of every future version. It requires you to supply your own LLM provider API key; the hosted gateway is not included. If we later release a new major version with significant new functionality, it may be offered as a separate, optional purchase — you are never required to upgrade, and the version you bought keeps working. We state clearly at checkout which major version your purchase covers.
Lifetime v1 purchases may be refunded within 30 days of purchase by contacting us. Subscriptions can be cancelled at any time to stop future billing. Refunds are processed by Stripe as merchant of record; you can request one from us or through the Stripe billing portal. When a purchase is refunded, the corresponding access is removed. Refund and cancellation terms are shown and acknowledged at checkout before payment.
EU, EEA and UK customers — right of withdrawal. If you are a consumer in the EU, EEA or UK, you normally have 14 days to withdraw from a purchase of digital content. Because Liaison is delivered immediately, by completing your purchase and starting your download you expressly request that we begin supply at once and acknowledge that you lose your 14-day right of withdrawal once download or access has begun. This does not affect your statutory rights if the product is faulty or not as described.
Nothing in this section limits any non-excludable rights you have under the Australian Consumer Law or other applicable consumer law.
We grant you a personal, non-transferable, non-exclusive licence to use Liaison according to your plan. Liaison is licensed for use on one active device at a time; signing in on a new device signs you out of the previous one. This is a normal feature of the licence, not a restriction on a faulty product. You agree not to:
The Liaison receipt verifier is published as source-available software under its own licence; inspecting and self-hosting the verifier is expressly permitted and encouraged.
If you use your own LLM provider API key, your use of that provider is governed by that provider’s terms and privacy policy. You are responsible for your own provider costs and for keeping your key secure. We are not responsible for your provider’s availability, output, or charges.
You retain all rights in the prompts you write and the content you generate with Liaison. We do not claim any ownership of them, and (as described in our Privacy Policy) we do not receive or store your prompt content. You are solely responsible for your prompts and the content you produce, including ensuring you have the rights to use any inputs and that your outputs comply with applicable law and any third-party platform terms.
Liaison’s receipt feature produces tamper-evident records of your prompt work. A receipt can carry up to three independent corroborators: a whole-file hash (proving the file is unedited), DigiCert RFC 3161 timestamps (proving when it existed), and a Liaison Ed25519 signature (proving it was created by a named, paying Liaison account). What this does and does not mean:
Receipts are provided as a tool. They are not legal advice, and we make no warranty that any particular court, body, or counterparty will accept a receipt as proof of anything in a given context.
Liaison, the website, and our branding are owned by Warm Regards (or our licensors) and are protected by intellectual property laws. These terms do not transfer any of our intellectual property to you, other than the limited licence to use the app under your plan.
Liaison relies on third-party services (including Stripe, Supabase, DigiCert, OpenRouter, and your chosen LLM provider). We are not responsible for the acts, availability, or terms of those third parties. Your use of them through Liaison may also be subject to their terms.
Except for guarantees that cannot be excluded under applicable law, Liaison is provided “as is” and “as available,” without warranties of any kind. We do not warrant that the service will be uninterrupted, error-free, or that LLM outputs will be accurate, appropriate, or fit for your purpose.
Subject to the Australian Consumer Law and other non-excludable consumer guarantees (which this clause does not limit), and to the maximum extent permitted by law, Warm Regards will not be liable for any indirect, incidental, special, or consequential loss, or for loss of profits, data, or goodwill, arising from your use of Liaison. To the extent we are liable, our total aggregate liability for all claims relating to Liaison is limited to the greater of (a) the total amount you paid for Liaison (whether to us or to Stripe as our merchant of record) in the 12 months before the event giving rise to the claim, and (b) AUD $100.
Australian Consumer Law. Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where our goods or services come with non-excludable guarantees, our liability for failing to comply is limited (at our option) to re-supplying the service or paying the cost of re-supply, to the extent the law allows.
You can stop using Liaison and close your account at any time. We may suspend or terminate access if you materially breach these terms (and, where the breach can be fixed, fail to fix it within a reasonable time after we ask), if required by law, or where necessary to protect the service and its users from serious or unlawful conduct. On termination, your right to use Liaison ends; receipts you have already saved remain valid and verifiable, and nothing here limits your non-excludable rights under the Australian Consumer Law.
We may update these terms as the product evolves. We will update the date at the top, and changes take effect on that date. For material changes that affect an existing subscriber, we will give advance notice (at least 14 days where practicable) through the app or by email, and you may cancel before the change takes effect; any price increase applies only from your next renewal, which you are free to decline. Continuing to use Liaison after a change takes effect means you accept the updated terms.
If you have a concern, please contact support@promptliaison.ai first so we can try to resolve it informally within 30 days. These terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of Victoria. This does not deprive you of the protection of mandatory consumer laws in your place of residence.
